It sounds like the soon to be released PHP version 5.3 will have some major changes and may break some systems. Are there any concerns with PHP5.3 and CMSMS?

Can't really know until it is released. In the meantime, it will be awhile until most web host upgrade to it anyways so there should be time to fix up CMSMS if it isn't fully compatible.
