Upgrade from 1.2.5 question

I am running version 1.2.5 on an old site (I keep all my others up to date I promise).

I have the following modules installed.

CGExtensions 1.6
CMSMailer 1.7.13
CompanyDirectory 1.1.3
FormBuilder 0.4.4
MenuManager 1.5
SiteMapMadeSimple 1.1.1
TinyMCE 2.2.8

Whats the best thing to do upload all the files from 1.4.1 and then run the upgrade script then update all my modules?

first backup
second run install/upgrade.php (upgrade core modules only)
third upgrade your modules (from forge and ftp or modulemanager)
