upgrade to a newer version

How or why would I want to upgrade my CMS version? If I do install the new version what happens to all my custom templates and images I have already working

You'd want to upgrade to take advantage of the newer features or security updates.

It's easy and it won't overwrite your content, if you follow the upgrade procedures.

When reading the doc about upgrading procedures, it says this "Navigate to /install/upgrade.php. That automatically makes any necessary changes in the database." Does that mean in my ftp program just open the upgrade.php file??

No, they are already in the config.php. The upgrade script guides you through the upgrade procedure.
