Browser install returns message 404

When I put the url with my site and the cms install directory and index.php I get the standard error message 404, not found, yet I can see the cms directories and the install directory and the index.php.  I have check, and double checked the url.  It is accurate.  How can I install the program?  Help.

Activate directory browsing on your webserver, so you can see if you are in the right directory.

My apologies for not including more data: 

Cms is 1.4.1; Server is Unix Type: L8. The DB is MySql is version 5.

I can see the cms directories on the server.

Still cannot initiate install.

Thanks everyone.

AND I am thinking that there may have been an error in the FTPd files.

So, I deleted files from server and will install again via ssh.

I will  be back with results shortly.
