Where do I must upload the .xml file and how to set it as a default? Please tell me clearly

after having downloaded that XML....
Go inside your CMSMS, to "Layout -> Theme manager -> Import" and point to the XML you just downloaded and push IMPORT.
Got to "Layout -> Templates" and push the red-cross at that theme at the ACTIVE-column, to make it Active, then push the red-cross at the default-column to make it default.
If you want all pages to have that template, you can "Set all pages" behind that theme, that way all exisitng pages, are attached to that template instead of the original templates. If you have different templates for the different pages, be aware, this sets ALL pages to this template, you than have to adjust page-per-page to a single different template if wanted.

But some themes are in .zip format and beside of .xml file there are also some images. Where do I must upload those images?
